How to Change Your Company’s Registered Address

If you’re planning to change your company’s registered address in Bulgaria, there’s a clearly defined legal process to follow. Whether you’re relocating to a new office or updating outdated information, ensuring that your registered address is current is a legal requirement under Bulgarian law.

Why Is the Registered Address Important?

The registered address is not just a formality — it’s the official seat of your company. Government institutions such as the National Revenue Agency (NRA), the Trade Register, and the National Insurance Institute (NII) will use this address for official notifications and correspondence.

If this information is outdated, you risk missing important letters and deadlines, which could lead to fines or even deregistration. That’s why updating your company’s registered address should be treated with urgency and care.

    What Documents Do You Need?

To initiate the change, you’ll need to prepare the following:

    • A decision by the General Meeting of shareholders. In the case of a sole-owner company, a written resolution signed by the owner will suffice.
    • Updated Articles of Association that reflect the new registered address.
    • An application to the Trade Register, completed and signed by the company’s managing director or submitted through a lawyer with a notarized power of attorney.

These documents must be in Bulgarian and meet the legal formatting requirements of the Registry Agency.

Where and How to File the Change?

The application must be submitted to the Bulgarian Trade Register, which is maintained by the Registry Agency. You have two options for filing:

If you’re working with a legal representative, they can handle the filing process on your behalf, making the process smoother and less time-consuming.

    How Long Does It Take?

Once your documents are submitted and the application is accepted, the Trade Register usually processes the change within 2 to 5 business days. The new registered address becomes official once the entry is published in the Trade Register.

What Else Should You Keep in Mind?

Changing your company’s address doesn’t stop with the Trade Register. There are several additional steps to ensure full compliance:

    • VAT-registered companies must notify the National Revenue Agency about the new address separately. This is a legal obligation.
    • Notify your bank to update your company profile and avoid issues with transactions or bank correspondence.
    • Inform key partners — clients, suppliers, and service providers — to prevent disruptions in deliveries, invoicing, or communications.

It’s a good idea to update your website, email footers, and company letterheads to reflect the new address as well.

    Summary of the Process

    1. Draft and approve the resolution and updated Articles of Association.
    2. File the application online or in person at the Trade Register.
    3. Notify tax authorities, financial institutions, and your business partners.
    4. Update all business communications to reflect your new location.
